Insurance Seller Agreement

Authority and seller capacity
The Insurance User represents and warrants that it has full authority, whether as owner, insurer, subrogated party, claims administrator, loss adjuster, salvage agent or authorised representative, to submit Listings, upload Documents, disclose relevant information and coordinate sale, disposal or transfer of the listed aviation asset.
Where ownership, lien, lease, insured-party consent, warehouse custody, policy rights, regulatory hold, criminal investigation, customs status or third-party title is unresolved, the Insurance User must not publish the Listing or release Documents except with express internal and legal approval.
Accuracy, completeness and continuing duty to update
The Insurance User is responsible for ensuring that all part numbers, serial numbers, aircraft types, incident details, claim references, damage descriptions, photographs, locations, prices, compliance fields and documentation levels are accurate, not misleading and updated promptly if circumstances change.
The Insurance User must promptly correct or withdraw Listings where information becomes inaccurate, authority changes, the asset is sold elsewhere, documents are superseded, title is challenged, compliance status changes or publication creates legal, confidentiality or regulatory risk.
Personal data and claim confidentiality
The Insurance User shall redact personal data and unrelated claim-sensitive information before upload unless such data is strictly necessary for the transaction and lawful to disclose. This includes passenger details, crew data, insured-party private information, unrelated policy data and special-category data.
The Insurance User remains responsible for having an appropriate lawful basis and authority to disclose Documents containing personal data, confidential claim data or third-party information to the Operator and verified buyers.
Aviation condition and no airworthiness statement
The Insurance User shall not represent any listed asset as serviceable, airworthy, installable or approved for aviation use unless supported by valid release documentation issued by an authorised organisation and clearly uploaded or referenced.
Salvage status, repairability, documentation level and damage severity must be described honestly and conservatively. Any uncertainty must be disclosed rather than omitted.
Document disclosure and access logging
The Insurance User authorises the Operator to make private Documents available to approved buyers and admins under Platform access controls where necessary for evaluation, offer preparation, compliance review and closing.
The Insurance User acknowledges that the Platform may log document access events and may use such logs for confidentiality enforcement, audit, dispute resolution, legal claims, security and regulatory/compliance evidence.
Offers, pricing and closing authority
The Insurance User may set or approve asking prices, reserve prices and commercial guidance. Offers received through the Platform may be reviewed by the Operator/admin deal desk and advanced only through the agreed workflow.
No sale shall be treated as complete until all required approvals, payment conditions, document release conditions, title/authority checks, export/sanctions checks and definitive transaction documents have been completed.
Indemnity and risk allocation
The Insurance User shall indemnify and hold harmless the Operator from claims arising out of lack of authority, inaccurate Listing content, unlawful disclosure of Documents, unredacted personal data, title disputes, misleading airworthiness statements, third-party IP/confidentiality claims or breach of this Agreement.
This indemnity is subject to mandatory law and any final negotiated master agreement between the Operator and the Insurance User.
